Terms of Service

These terms are an agreement between you and ProspectFlow ("we", "us") and govern your use of the ProspectFlow website and application (the "Service"). If you use the Service on behalf of a company, you accept these terms for that company and confirm you have authority to do so. If you do not agree, do not use the Service.

Your account

• You must be at least 16 and give accurate information when you sign up.
• You are responsible for keeping your credentials secure and for everything that happens under your account and your team. Tell us promptly at support@prospectflow.app if you suspect unauthorized access.
• Team owners control who is invited to their team and what those members can see.

Acceptable use

You are responsible for your outreach and for the data you bring into the Service. You agree not to:

• Send spam or messages that break anti-spam and privacy laws, including CAN-SPAM, CASL, the GDPR and the ePrivacy rules. You must have a lawful basis to contact the people you contact, honor unsubscribe requests and identify yourself accurately.
• Send unlawful, deceptive, harassing, defamatory or infringing content, or malware.
• Use the Service in a way that breaks the terms of the platforms you connect, such as Google, Microsoft or LinkedIn. Automation on third-party platforms can lead those platforms to restrict your account; you accept that risk.
• Probe, scan or test the Service's security without our written permission, interfere with its operation, get around usage limits, or access other customers' data.
• Resell the Service, or copy or reverse engineer it, except where the law allows.

We may suspend sending, a connected account or your access if we reasonably believe you are breaking these rules or putting the Service, its deliverability or other customers at risk. Where practical we will tell you first.

Your data

You keep all rights to the data and content you put into the Service. You give us permission to host, process and transmit it only as needed to provide the Service to you, as described in our Privacy Policy. You confirm you have the rights and any notices or consents needed for us to process prospect data on your behalf.

Connected accounts and third-party services

The Service works with third-party services you choose to connect, such as Gmail, Microsoft 365, LinkedIn, Stripe and other integrations, and with data providers we use to find and verify contact details. Those services are governed by their own terms. We are not responsible for their availability, accuracy or any changes they make. Enrichment and verification results are best-effort and may be incomplete or wrong.

AI features

Some features use AI models to classify, research or draft content. AI output can be inaccurate. Review it before you rely on it or send it. You are responsible for the messages sent from your accounts, including those drafted or sent by AI features you turn on.

Plans, credits and payment

• Paid plans and credits are billed through Stripe at the prices shown when you purchase. Subscriptions renew automatically until you cancel; cancellation takes effect at the end of the current billing period.
• Credits are consumed by features such as enrichment and AI, at the rates shown in the app. Credits have no cash value and cannot be transferred.
• Fees are non-refundable except where required by law or where we say otherwise in writing.
• Prices exclude taxes, which you are responsible for where applicable.
• We may change prices with at least 30 days' notice before your next renewal.

Beta features

Features marked beta or early access are provided as they are, may change or be removed, and may not be available to everyone.

Our intellectual property

We own the Service, its software and its branding. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription under these terms. If you send us feedback, we may use it without obligation to you.

Ending your use

You can stop using the Service and ask us to delete your account at any time (see the Privacy Policy). We may suspend or end your access for a material breach of these terms, or with 30 days' notice for any other reason, in which case we will refund any prepaid fees for the unused period. Sections that by their nature should survive termination will survive.

Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or that emails will be delivered to the inbox or get replies.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising out of these terms or the Service is limited to the amount you paid us in the 12 months before the claim. These limits do not apply to liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against third-party claims arising from your content, your outreach, or your breach of these terms or of applicable law.

Changes to these terms

We may update these terms. We will post changes here and update the effective date, and give you notice by email or in the app before material changes take effect. Continuing to use the Service after that means you accept the changes.
